1. DEFINITIONS AND JURIDICAL STATUS
1.1. Administrator (We/Us/Company): The owner of the Website, Sergey V. P. (operating as an individual or a registered business entity), who provides access to the Website’s materials and Services.
1.2. User (You): Any natural person accessing and using the Website, its Content, and Services.
1.3. Website: The online resource https://business-pathfinder.com.
1.4. Content: All intellectual property and information on the Website (texts, media, etc.), protected by the Content Usage Policy.
1.5. Services: Paid consulting services provided under the Public Offer Agreement (Terms of Service).
2. ACCEPTANCE OF TERMS (CONSENT AND ADHESION)
2.1. Contract of Adhesion: This Agreement is a binding contract of adhesion.
2.2. Explicit Acceptance: By using, accessing, or registering on the Website, You confirm that You have read, understood, and unconditionally accepted all terms of this Agreement, the Public Offer Agreement, and the Privacy Policy.
2.3. Language Acknowledgment: The User confirms that they are proficient in the English language or have obtained a full and competent translation, and fully understand the risks and disclaimers contained herein.
3. INTELLECTUAL PROPERTY AND LICENCE (IP)
3.1. Ownership: The Administrator exclusively retains all title, interest, and Intellectual Property Rights in the Content and the Website.
3.2. Grant of Licence: The Administrator grants the User a limited, revocable, non-exclusive, non-transferable licence to use the Content solely for personal, non-commercial, and informational review.
3.3. Prohibited Use: The User is expressly prohibited from reproducing, distributing, modifying, creating derivative works from, publicly displaying, or selling any Content without the Administrator’s prior express written consent.
3.4. Required Attribution (Quotation): Permitted quotation must include mandatory attribution to the author (Sergey V. P.) and a direct, active, indexed hyperlink to the source page.
4. USER REPRESENTATIONS AND OBLIGATIONS
4.1. Lawful Use: The User warrants that their use of the Website and Content will strictly comply with all applicable local, national, and international laws and regulations.
4.2. Integrity: The User agrees not to engage in any activity that interferes with the proper functioning of the Website (including, but not limited to, hacking, denial-of-service attacks, or introducing malicious code).
4.3. Data Accuracy: The User warrants that all information provided during Registration or for the Services is truthful, current, and accurate.
5. LIMITATION OF LIABILITY AND INDEMNIFICATION
5.1. Services “AS IS” (No Warranties): The Website, its Content, and all Services are provided to the User on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability or fitness for a particular purpose.
5.2. Disclaimer of Result: The Administrator makes no representation or warranty regarding the achievement of any financial, business, or personal results from the use of the Content or the Services. The User proceeds entirely at their own risk.
5.3. Exclusion of Liability: The Administrator shall not be liable for any direct, indirect, incidental, special, or consequential losses or damages, including, but not limited to, loss of profits, loss of anticipated savings, or loss of business opportunity, arising from the User’s reliance on the Content or use of the Website.
5.4. Indemnification (User’s Obligation): The User agrees to indemnify, defend, and hold harmless the Administrator, its agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees and costs) arising out of or in any way connected with the User’s violation of this Agreement or infringement of any third-party rights (including IP rights).
6. DISPUTE RESOLUTION AND JURISDICTION
6.1. Governing Law: This Agreement shall be governed by and construed in accordance with the Law of England and Wales, without regard to its conflict of law provisions.
6.2. Exclusive Jurisdiction (UK): The Parties irrevocably agree that the Courts of England and Wales, located in London, shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.
6.3. Mandatory Binding Arbitration (US Protection): Notwithstanding Clause 6.2, and to the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to this Agreement (excluding intellectual property infringement claims) shall be determined by mandatory, confidential, binding arbitration in London, England, under the rules of the London Court of International Arbitration (LCIA) or another mutually agreed international arbitration body. This clause constitutes a waiver of the User’s right to a jury trial in the United States.
7. MISCELLANEOUS PROVISIONS
7.1. Severability (Safety Net Clause): If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitration panel of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if it cannot be modified, it shall be deemed severed from this Agreement. The remaining provisions shall remain in full force and effect.
7.2. Integration: This Agreement, together with the Public Offer Agreement and the Privacy Policy, constitutes the entire agreement between the Administrator and the User.
7.3. Amendments: The Administrator reserves the right to unilaterally amend and modify this Agreement. Amendments shall become effective upon publication on the Website. Continued use of the Website signifies the User’s binding acceptance of the modified terms.
